CSR expenditure increases 11% to Rs 10,030 crore in FY18

India Inc’s social spending crossed Rs 10,000 crore last year, led by Reliance Industries and Oil & Natural Gas Corporation.

Spending on corporate social responsibility projects increased 11% to Rs 10,030 crore in 2017-18, according to an analysis of 1,080 of 1,795 companies listed on the National Stock Exchange by PRIME Database Group.

“CSR expenditure by NSE-listed companies has grown at a healthy CAGR of 16% over the last three years,” said managing director of PRIME Database Group.

The number of companies that spent on CSR increased to 1,016 (94% of the companies analysed) in 2017-18 from 931 (92%) in 2016-17. The top 10 companies together accounted for 36% of the total spending on CSR.

Government may push RBI to lift lending curbs on some banks

The Indian government will push its central bank to ease lending restrictions for some weak banks and review rules governing its functioning at a board meeting next month, people with knowledge of the matter said.

The members, including government nominees, will press for some of the weak banks to be removed from the so-called prompt corrective action list, particularly those ones that have been consistent in recovering outstanding debt, the people said, asking not to be identified as the plan is not public. There are 11 state-run lenders on the list, which curbs their ability to lend.

The proposals suggest another potentially tense board meeting on Dec. 14 amid an ongoing dispute between the Finance Ministry and the central bank over a number of issues, including the transfer of surplus funds, easing of lending rules and providing liquidity to the shadow-banking sector. The two sides signaled a truce at the most recent board meeting earlier this month.

Bihar state Legislative Assembly passed the Bihar Goods and Services Tax (Amendment) Bill, 2018 with voice vote amid pandemonium by the opposition over another issue pertaining to "deteriorating" law and order situation.

Punjab and Haryana High Court has issued notices to the finance ministry, the commerce ministry and GST Council for restricting the benefits of advance authorisation licence for exporters under the GST regime. An advance authorisation licence is issued to allow duty-free import of inputs, which are physically incorporated in export products.

RBI Governor strongly stressed on the need to protect the autonomy of the central bank before a parliamentary panel, but stayed away from any direct criticism of the government.

ICAI recommends the adoption of the SIAs by non-members of the ICAI who are performing internal audits so as to ensure a consistent approach and quality in the discharge of their professional duties.

ICAI clarified that Non-graduate chartered accountants with three years of experience can now become registered valuers, with the Ministry of Corporate Affairs amending the rules in this regard.

👉The Mumbai bench of the National Company Law Tribunal (NCLT) has admitted and initiated insolvency proceedings against Mumbai-based Ariisto Developers and has appointed an interim resolution professional (IRP) to manage the company.

👉Reserve Bank of India (RBI) Governor Urjit Patel told a parliamentary committee that the current level of currency reserves in the central bank is necessary keeping in mind international volatility and to maintain high creditworthiness.He said  RBI wants to maintain close to 99 per cent of current reserves to maintain a robust balance sheet and keep the AAA rating -- so that if it wants to borrow, it can borrow quickly.

👉The capital market regulator is at an ‘advanced stage’ of investigation against five top brokers in the ?5,500 crore National Spot Exchange (NSEL) scam, said two people familiar with the matter. Securities and Exchange Board of India had issued a show cause notice against them alleging that they are no longer ‘fit and proper’ to function as a registered broker in the commodities market.

👉Fitch Ratings Director (Financial Institutions) Saswata Guha said  Relaxation of lending norms to spur growth is "never a good strategy", he said, adding the legacy problem loans will continue to be a bigger drag on the MSME sector's asset quality until March 2019.

👉The RBI will pump in another set of liquidity in December by infusing Rs 40,000 crore into the system through open market operations (OMOs).

👉Non-graduate chartered accountants with three years of experience can now become registered valuers, with the Ministry of Corporate Affairs amending the rules in this regard. Previously a CA having three years of post-qualification experience and qualified as a graduate was allowed to become a registered valuer. "Now, a chartered accountant is not required to be a graduate to become a registered valuer.

👉The GST department of Chhattisgarh has cancelled the registrations of 655 traders based in Raigarh district on for not producing the details in 3B form format for the last six months.

👉The collections from goods and services tax (GST) was projected to be Rs 12 trillion in the current financial year. In other words, each month is expected to yield Rs 1 trillion from GST on an average. However, only two months — April and October — have so far hit the monthly target. In fact, average monthly target stood at Rs 970 billion in the first seven months of FY19. To meet the yearly target, each of the next five months has to yield Rs 1.107 trillion GST collections.

Government of India and the Government of the People’s Republic of China have amended the Double Taxation Avoidance Agreement (DTAA) for the avoidance of double taxation and for the prevention of fiscal evasion with respect to taxes on income, by signing a Protocol on 26/11/2018.

Mumbai bench of the Income Tax Appellate Tribunal has ruled that premium earned on allotment of preference shares by a loss-making entity cannot be taxed. The tribunal said the valuation of shares is not relevant for determining the genuineness of the transaction.

SEBI issued a detailed guidelines for setting up of alternative investment funds in international financial services centres, pertaining to registration, compliance requirements and restrictions.

RBI announced further easing of the hedging norms for external commercial borrowings (ECBs). for ECBs of maturity period between three-five years, the mandatory hedging requirement will now be 70%, instead of 100%.

CBDT directed Taxmann to check whether Service charge collected by hotels and restaurants but not passed on to staff and workers will be liable to income tax in the hands of such entities, the tax department has said.

SEBI proposed Corporates, NBFCs and other businesses may soon have to disclose key information for issuing commercial papers (CPs) — an unsecured, convenient instrument to borrow short-term fund — to mutual funds (MFs).

RBI in its central board meeting decided the issue of banks under PCA will be examined by Board for Financial Supervision of the central bank. The finance ministry hopes that 3-4 banks would come out of the RBI's Prompt Corrective Action watchlist this fiscal, following the expected modification of guidelines and apparent improvement in bottomline of the public sector banks.

ITAT Mumbai bench has held that the payment of high remuneration to Directors cannot be disallowed by treating the same as a tool to shift profits to evade tax if the Directors have already offered the income for tax through their personal returns.

Mumbai ITAT has ruled that premium earned on allotment of preference shares by a loss-making entity cannot be taxed. The tribunal said the valuation of shares is not relevant for determining the genuineness of the transaction. The ruling, pertaining to Section 68 of the Income Tax Act, stated that the AO can only verify the nature and source and not question the genuineness of the premium on allotment of preference shares.

Multi Vehicle Option for e-Way bill. The new option has been introduced wherein the consignment of one e-way bill has to be moved in multiple vehicles, after moving to transshipment place.

MCA has recommended that Advocates Act be amended to allow audit firms to offer legal services, a proposal which is being opposed by law firms.The MCA panel is of the view that development of multi-disciplinary practice (MDP) firms should be facilitated in the country, and to meet this goal, auditors should be allowed to expand their portfolio of services.

India ’s economic growth will slow down somewhat but remain robust, at close to 7.50% in 2019 and 2020, the Organisation for Economic Cooperation and Development (OECD) has said.

👉The income-tax (I-T) department’s drive against black money stashed abroad has met with a hurdle in the British Virgin Islands (BVI), Britain’s overseas territory located in the Caribbean.According to the department, the BVI, one of the five largest tax haven countries, has expressed its inability to provide information on the several hundred Indians who have offshore investments on its land. In a recent communication with the I-T department, the BVI counterpart said the floods of August 2017 destroyed the relevant files, while some others had lost.

CBDT has directed its field officials to examine balance sheet and expenditure statement of restaurants and hotels in cases where there is any under-reporting or non-reporting of additional income collected in the name of service charge.

Indirect tax collections are likely to fall short by Rs 90,000 crore in the current fiscal on account of subdued GST mop-up and excise duty cut on petroleum products, an SBI research report said.

Non-individual entities who have do not have PAN but conduct a transaction of Rs 2.5 lakh or more in a single financial year will now mandatorily have to get a PAN before May 31of the following financial year. This is as per a notification issued by the Income Tax Department dated November 19, 2018.

GSTR-9A is the annual return to be filed once in a year by taxpayers who have opted for the Composition Scheme under GST for the period July 17 to March 2018 . It includes all the information furnished in the quarterly returns filed by the composition taxpayers during that financial year.

RBI and the government are likely to engage in tough negotiations over the composition of the panel that will review the regulator’s capital requirements, including who will head the committee.

The expert committee to examine the economic capital framework (ECF) of the RBI will be formed within a week, adding that it will submit its report by the end of February.

👉The Finance Ministry seeks Inputs from Different Central Ministries by Nov 30, for Arun Jaitley's Budget Speech, which would be the last budget of the current BJP-led NDA Govt before the 2019 general polls. Last month, the Ministry began the budgetary exercise.

👉The Investigation Wing working under the Ministry of Finance has detected a scam of Rs 29,088 Crores in 1,835 tax cases in this financial year from April to October 2018. Out of this, GST evasion of Rs 4,562 crore has been detected by the Directorate General of GST Intelligence (DGGI) in 571 cases.

👉The GST department in Ahmedabad detected a tax evasion of Rs 100 crore worth of Fake Billing Racket from Gondal town in Saurashtra.

👉After the Income Tax department, the Ministry of Corporate Affairs (MCA) to review & ask Investors about the premium they have paid in startups. The MCA has issued notices to 2,000 startups that have raised money since 2013. GST Legal updates:

1. National Anti-Profiteering Authority- Restaurant Services- The Respondent has resorted to profiteering by charging more price from the customers by issuing incorrect tax invoices. Accordingly, he has committed an offence u/s 122 (1)(i) of the CGST Act and a SCN is issued on him. Held, the Respondent is directed to reduce the prices keeping in view the reduced rate of tax and benefit of Input Tax Credit availed by him.

2. Confiscation of goods- The petitioner is aggrieved as the Assistant State Tax Officer refused to release the goods on the ground that petitioner has to pay tax and penalty through cash or Demand Draft. It was held that under GST regime, everything is made online with minimum manual interventions. The insistence of the officer is out of tune with the very spirit of GST regime and has been asked to release goods and vehicle forthwith.

SEBI has allowed promoters to make counter offer to shareholders of companies that are planning to delist from stock exchanges, a move aimed at plugging loopholes in the current method. The SEBI has put in place a system for price discovery according to the reverse book building (RRB) method, along with considering counter offers of promoters.

RBI will inject Rs 80 billion into the system through purchase of government securities. Based on an assessment of prevailing liquidity conditions and also of the durable liquidity needs going forward, the RBI has decided to conduct purchase of the following government securities under Open Market Operations for an aggregate amount of Rs 80 billion.

In GSTR 9, there are 5 parts. Following are the details which the taxpayer needs to provide in GSTR 9 :

Part I - Basic Details such as GSTIN, Legal Name, Trade Name of the taxpayer that is auto-populated.

Part II - Details of outward and inward supplies declared in GSTR-4 filed during the financial year. This input consists of summary from all quarterly returns filed during the FY.

Part III - Details of tax paid as declared in returns filed during the financial year. Tax paid under different heads such as IGST, CGST, SGST, Cess, Interest, Late Fee, Penalty has to be mentioned here.

Part IV - Particulars of the transactions for the previous FY declared in returns of April to September of current FY or upto date of filing of annual return whichever is earlier. This section consists of summary of amendments or corrections relating to entries of previous FY. It may be additions or omissions.

Part V - Other Information such as the following:

Particulars of Demands and Refunds. Here, details of any demands for tax from the tax department, tax paid on the demand raised, any balance to be paid shall be mentioned. Also, details of Refund claimed, refund received out of the claim, pending refund shall be mentioned.

Details of credit reversed or availed – If a taxpayer switches from regular to composition scheme or vice versa, ITC shall be reversed or added respectively. Such details pertaining to ITC shall be entered here.

Late fee payable and paid – Late fee on account of late payment of tax or late filing of returns shall be mentioned in this section.

Late fees for not filing the GSTR 9 within the due date is Rs. 100 per day per act up to a maximum of an amount calculated at a quarter percent of the taxpayer turnover in the state or union territory. Thus it is Rs 100 under CGST & 100 under SGST, the total penalty is Rs 200 per day of default. There is no late fee on IGST.

CBDT amends Form No. 36 (Form of appeal to the Appellate Tribunal) vide Notification No. 72/2018 Dt. 23/10/2018 amends Form No. 36- Form of appeal to the Appellate Tribunal.

ITAT Mumbai in the case of Sushmita Sen Vs. ACIT held that the Sum received by Sushmita Sen towards damages for being sexually harassed not taxable under section 2(24) or Section 28 of the Income Tax Act 1961.

CBDT has  amended Rule 114 of Income tax in order to provide that EVERY Director, Partner, Karta, Trustee of any Company, Firm, HUF, Trust is required to  apply for PAN till 31.05.2019 _IF Such Company, Firm, HUF, Trust has entered into any Financial transaction(s) exceeding INR 2.50 lakhs in F.Y 18-19.

SEBI asked listed companies to disclose detailed reasons for the delay in submission of financial results to the stock exchanges within one working day of the stipulated deadline.In case a company decides to delay the announcement of results prior to the due date, reasons have to be disclosed within one working day of taking such a decision, according to a circular.

Department of Industrial Policy and Promotion (DIPP) wants to amend the Public Procurement Order so that penal action can be taken against erring officials of procurement agencies of any government department if they include restrictive or discriminatory conditions against domestic suppliers in bid documents.

-To be prepared and maintained as per Rule 10D by 30 November 2018. To be maintained if the value of international transaction during FY 2017-18 exceeds Rs. 1 Crore.

3. Country by Country Reporting (CbCR)
• Form 3CEAC (Notification)-
Every Indian constituent entity of a foreign IG to file the CbC report notification in India. Due date- Two months prior to the due date for filing the CbC report

Form 3CEAD (CbCR)– To be filed by
(i) Indian headquartered IG
OR
(ii) Indian entity of foreign IG designated as alternate reporting entity
OR
(iii) Indian constituent entity of foreign IG required to submit CbC report in India under the specified circumstances.

Due date – 31March 2019. To be filed if the consolidated group revenue exceeds Rs. 5500 Crores in preceding year.

3CEAE– Foreign IG required to file CbC report in India under specified circumstances and having multiple constituent entities resident in India. No timelines prescribed.

4. Master File– Form 3CEAA (Due date 30 November 2018)

Part A of Form 3CEAA
– Every constituent entity of an IG having international transactions/specified domestic transactions. No threshold applies.

Part B of Form No. 3CEAA
– Every constituent entity of an IG meeting the prescribed threshold limit. Threshold is as under:
(i) For the accounting year, consolidated group revenue > INR 500 Cores;
and
(ii) The aggregate value of international transactions, as per books of accounts, for the accounting year :

Taxes deptt continues drive against GST defaulters

Continuing its drive to tighten the noose around GST-3B return non-filers, enforcement team of the state taxes department conducted inspection in various areas of Jammu District.
During the inspection, GSTR3-B return filing position of some of the dealers was scrutinised and notices issued with a view to ensure deposition of the tax collected by them.

The erring dealers were directed to clear their tax liability within seven days failing which action under Section 67 of the SGST Act shall be initiated against them.

The same will be done in Karnataka also there is information those who have not filed returns from April 2018 onwards registration will be cancelled

In a bid to check GST evasion and also facilitate the faster movements of goods, the Union government's Revenue department is now planning to integrate the e-way bill with NHAI's FASTag mechanism, DMICDC's Logistics Data Bank (LDB).

This plan comes as the government has become alert against those trying to evade GST in the name of e-way bill.

As per media reports, the government may introduce an OTP-based system along with the e-way bill. This will ensure that a trader cannot evade GST on the goods being transported for delivery. According to a report by Hindi daily Hindustan, the government will bring OTP and FASTag mechanism. The registration of traders first caught evading tax will be suspended. On second offence, the trader may lose the registration.

Earlier, news agency PTI had reported officials as saying that the current proposal will help improve operational efficiencies across the country's logistic landscape. At present, the lack of harmonisation under the 'track and trace' mechanism in terms of sharing information among different agencies is affecting the ease of doing business in the country. Besides, it is also impacting the logistic costs of the companies.

An official told the news agency that the proposal will also help in preventing goods and services tax (GST) evasion by unscrupulous traders who take advantage of the loopholes in the supply chain.

Billed as an anti-evasion measure, e-way bill system was rolled out on April 1, 2018, for moving goods worth over Rs 50,000 from one state to another. The same for intra or within the state movement was rolled out in a phased manner from April 15.

As per the rules, transporters of goods worth over Rs 50,000 are required to present e-way bill during transit to a GST inspector, if asked."The integration of the e-way bill system with FASTag and LDB is expected to help boost tax collections by clamping down on trade that currently happens on cash basis," the official was quoted as saying.

What is FASTag?

FASTag system has been implemented by the National Highways Authority of India (NHAI) for collection of toll electronically on national highways. FASTag also offers non-stop movement of vehicles through toll plazas.

How the current plan, which is being worked out by the revenue department, help?

- Integrating e-way bill with FASTag will help revenue authorities track the movement of vehicles and ensure that they are travelling to the same destination as the transporter or the trader had specified while generating the e-way bill.

The integration will also help the suppliers locate the goods through the e-way bill system. Transporters, too, would be able to track their vehicles through SMS alerts that would be generated at each toll plaza.

The government also plans to integrate the Delhi-Mumbai Industrial Corridor's (DMIC's) container tracking services, also called LDB programme, with the e-way bill.

The MCA has issued a new e-Form CFI (CSR) w.e.f. 20 NOV 2018 to submit the reply towards the CSR Notice. The same is available on MCA21 Forms Download Page.

Purpose of the eForm: Notice for Call for Information on CSR is sent to the companies who are  non-compliant with respect to filing of CSR (Corporate Social Responsibility). Such companies have to *file their response through ‘Reply to Call for information on CSR’ Form*

Digital Signature: The Form shall be filed with the Digital Signature of Director / Company Secretary / CFO / CEO / Manager).
